Terms of Service

The agreement between you and Zone Forge Technologies, LLC for use of the Zone Forge software and services.

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Zone Forge Technologies, LLC, a Delaware limited liability company ("Zone Forge," "we," "us," or "our"). They govern your access to and use of the Zone Forge software, websites, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Zone Forge provides software for precision agriculture, including soil-data analysis, variable-rate prescription map generation, agronomic recommendation tooling, and integrations with connected agricultural platforms. Features and functionality may change over time. We may add, modify, or discontinue features at any time without notice except where required by law.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. The Service is not intended for use by minors. By using the Service you represent that you meet these requirements.

3. Accounts

To use most features you must create an account. You may create an account using an email address and password or by signing in with a supported third-party identity provider (such as Google). You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. You agree to notify us promptly at zoneforge@zoneforgetech.com of any unauthorized use of your account or any other security incident you become aware of.

You may also use the Service in a limited "guest" mode without creating a permanent account. Guest sessions may be deleted at any time and offer fewer features than a registered account.

4. Your Content

The Service lets you upload, create, and store information including field boundaries, soil sample data, agronomic settings, prescription map definitions, and related metadata ("User Content"). You retain all rights you have in your User Content.

You grant Zone Forge a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify (for formatting and processing purposes), and create derivative works of your User Content solely as necessary to provide and improve the Service for you. This license terminates when you delete the User Content or close your account, except to the extent the User Content has been shared with third parties at your direction or is retained in routine backups for a limited period.

You represent and warrant that you have all rights necessary to upload your User Content to the Service and that doing so does not violate the rights of any third party or any applicable law.

6. Third-Party Services

The Service integrates with third-party services that you may choose to connect, including connected agricultural platforms for importing and exporting field, organization, and prescription-map data, Firebase Authentication (operated by Google) for identity, and, in the future, third-party artificial-intelligence providers used to power optional features such as result explanations. Your use of those third-party services is subject to their own terms and privacy policies. Zone Forge is not responsible for the availability, accuracy, or content of third-party services. If a third-party service becomes unavailable or changes its terms, the related Zone Forge features may stop working.

7. Subscriptions, Billing, and Free Tier

Portions of the Service may be offered free of charge; other portions may require a paid subscription, per-acre payment, or both. Pricing and payment terms will be disclosed before you incur a charge. If you purchase a paid plan you agree to pay all applicable fees and authorize us (or our payment processor) to charge your designated payment method.

Unless required by law or expressly stated otherwise at purchase, payments are non-refundable. We may change pricing for future billing periods on reasonable advance notice; price changes do not apply retroactively.

8. Agronomic Disclaimers

The Service is a tool that performs calculations based on inputs you and third parties provide and on published university recommendation tables. It is not a substitute for the judgment of a qualified agronomist, certified crop adviser, soil scientist, or other licensed professional. Recommendations produced by the Service are estimates that depend on the accuracy and representativeness of the data provided. Soil-test calibrations, recommendation philosophies, application equipment behavior, weather, and field conditions all affect real-world outcomes.

You are solely responsible for any decisions you make based on output from the Service, including fertilizer applications, seed-rate decisions, and equipment operation. You should independently verify recommendations before acting on them. Zone Forge does not guarantee any particular yield, agronomic, environmental, or financial outcome.

Any weather or spray-window information presented by the Service is advisory only, is sourced from third-party forecast providers, and is not a guarantee of suitable application conditions. Always confirm current field and weather conditions and any product-label or regulatory restrictions before applying any product.

Commodity prices shown in the Service are local cash bids sourced from U.S. Department of Agriculture Agricultural Marketing Service (USDA AMS) reports, or, for contract or specialty crops with no public bid, prices you enter yourself. They are provided for informational purposes only, are not futures prices, and are not financial, investment, or marketing advice. Prices may be delayed, incomplete, or unavailable for your area or crop. You should verify current prices with your buyer or elevator before making any marketing or selling decisions.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and documentation, is owned by Zone Forge or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and any applicable subscription. No other rights are granted.

You may submit feedback, suggestions, or ideas about the Service ("Feedback"). You agree that we may use Feedback for any purpose without obligation to you.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if continued provision of the Service to you presents a security or legal risk. We will use reasonable efforts to notify you of a termination unless doing so is impractical or would compromise an investigation. On termination, your right to use the Service ends and we may delete your User Content according to our retention practices described in the Privacy Policy.

The provisions of these Terms that by their nature should survive termination — including User Content licenses already granted, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions — will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZONE FORGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA OR RECOMMENDATIONS WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZONE FORGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CROPS, YIELD, OR ANY AGRONOMIC OR ENVIRONMENTAL OUTCOME, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions the limitations above apply only to the extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Zone Forge and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through informal negotiation will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the State of Delaware or another mutually agreed location. The arbitrator's decision will be final and binding. You and Zone Forge each waive any right to a jury trial and to participate in a class action or class arbitration. Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in court to protect intellectual-property rights.

If any portion of this Section 15 is found unenforceable, the remainder will remain in effect to the maximum extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting an updated version with a new effective date and, where appropriate, by emailing the address associated with your account. Your continued use of the Service after the new effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service.

17. Miscellaneous

These Terms, together with the Privacy Policy and any order forms or supplemental terms expressly incorporated by reference, are the entire agreement between you and Zone Forge concerning the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, or sale of assets. Headings are for convenience only.
